SEMINAR AND TRAINING TERMS AND CONDITIONS
By registering for, paying for, or attending a seminar, training class, course, workshop, or related educational program offered by Badger State Consulting LLC (“BSC”), whether conducted in person or virtually (collectively, the “Seminar”), the registrant and attendee agree to the following Terms and Conditions.
1. Registration
The Seminar is intended for construction-industry professionals and other individuals approved by BSC.
Completion of the registration form does not, by itself, guarantee participation. Registration is considered complete only after:
BSC reserves the right to cancel an unpaid or incomplete registration and make the seat available to another attendee.
A confirmation email will be sent to the email address provided during registration. The confirmation may include the Seminar title, date, time, location or virtual-access information, payment status, and additional instructions.
Registrants are responsible for providing accurate contact, licensing, and credential information.
2. Payment Options and Processing Fees
Registration fees must be paid in full unless BSC approves another payment arrangement in writing.
Online credit-card and debit-card payments may be subject to a separately disclosed processing or convenience fee. Any applicable fee will be displayed before payment is submitted.
Registrants selecting payment by check must follow the payment instructions provided during registration or in the confirmation email. The registration may be identified as pending until the check is received and processed.
Checks shall be made payable to the business or entity identified in the payment instructions.
BSC may cancel a check-pending registration if payment is not received by the stated due date or before the Seminar reaches capacity.
Any returned check, rejected electronic payment, disputed charge, or unpaid balance may result in cancellation of the registration and withholding of attendance records, completion documentation, or continuing-education credit.
3. Cancellation by the Registrant
Registration fees are non-refundable except when a refund is expressly required under these Terms and Conditions or applicable law.
A registrant who is unable to attend may transfer the registration to another qualified individual by providing BSC with written notice at least ten business days before the Seminar.
The replacement attendee must provide all required registration and credential information before attending.
At BSC’s discretion, a registrant who provides timely written notice may be permitted to apply the registration fee as a credit toward another eligible BSC Seminar. Any credit:
Failure to attend, late arrival, early departure, removal for misconduct, or failure to satisfy course-completion requirements does not qualify the registrant for a refund.
4. Cancellation, Rescheduling, or Modification by BSC
BSC reserves the right to cancel, postpone, relocate, reschedule, or modify a Seminar due to insufficient enrollment, instructor availability, severe weather, facility conditions, technical problems, government action, public-health concerns, or other circumstances affecting the safe or practical delivery of the Seminar.
If BSC cancels a Seminar and does not offer a replacement date, the registration fee paid to BSC will be refunded.
If BSC reschedules a Seminar, the registrant may:
BSC is not responsible for travel expenses, lodging, lost wages, lost productivity, or other incidental or consequential costs resulting from a cancellation, rescheduling, relocation, or modification.
Wisconsin law may impose refund requirements for certain canceled or rescheduled events. This provision is intended to be administered consistently with applicable law.
5. Minimum Enrollment and Class Capacity
BSC may establish minimum and maximum enrollment requirements for each Seminar.
BSC reserves the right to cancel or reschedule a Seminar that does not meet minimum enrollment.
Registrations may be closed when the Seminar reaches capacity, when the registration deadline expires, or when BSC determines that additional registrations cannot reasonably be accommodated.
BSC may maintain a waiting list but does not guarantee that a seat will become available.
6. Attendance and Continuing-Education Credit
Participants seeking continuing-education units, credits, certificates, or other completion documentation must satisfy all attendance and participation requirements established by BSC and any applicable approving or licensing authority.
Requirements may include:
Partial attendance may result in reduced credit or no credit.
BSC will not issue or verify continuing-education credit for an individual who did not personally attend or who failed to satisfy the applicable requirements.
Certificates, attendance records, and continuing-education documentation may be withheld until all fees have been paid and required information has been provided.
Participants are responsible for confirming that the Seminar satisfies the continuing-education requirements applicable to their individual license, credential, employer, or jurisdiction.
7. Seminar Content and Educational Disclaimer
Seminar content is provided for general educational and informational purposes.
Seminar materials, discussions, examples, opinions, and responses to participant questions are not project-specific engineering, architectural, legal, inspection, code-enforcement, safety, tax, financial, or professional advice.
Participation in a Seminar does not establish a professional-services relationship between BSC, the instructor, and the participant or the participant’s employer.
Participants remain responsible for evaluating and verifying the application of all information to their work, projects, installations, designs, inspections, and professional responsibilities.
Applicable requirements may vary based on:
Code references, interpretations, examples, and instructional materials are based on information available as of the Seminar date. Later code revisions, administrative rules, statutes, standards, agency guidance, interpretations, or project conditions may affect the continued applicability of the information presented.
BSC does not guarantee that attendance will result in passing an examination, obtaining a license, receiving approval from an authority having jurisdiction, or achieving any particular professional outcome.
8. Changes to Content, Schedule, or Instructors
BSC may modify the Seminar content, schedule, format, location, speakers, instructors, course materials, or delivery method at any time when reasonably necessary.
Reasonable substitutions or modifications do not automatically entitle a registrant to a refund.
9. Intellectual Property and Course Materials
All presentations, slides, handouts, exercises, graphics, photographs, videos, recordings, forms, worksheets, and related Seminar materials are owned by BSC, the instructor, the speaker, or another identified rights holder.
Materials are provided solely for the registered participant’s personal educational use.
Except as expressly authorized in writing, participants may not:
No purchase or registration transfers ownership of any intellectual-property rights.
10. Participant Conduct
Participants must conduct themselves in a professional, safe, and respectful manner.
Harassment, intimidation, threatening behavior, unsafe conduct, substantial disruption, unauthorized solicitation, misuse of facilities, or interference with instructors or other attendees is prohibited.
BSC may deny entry or remove a participant whose conduct violates these Terms and Conditions or adversely affects the safety, security, or learning environment of the Seminar.
Removal for misconduct does not entitle the participant to a refund or continuing-education credit.
11. Audio, Video, and Photography by Participants
Participants may not make audio recordings, video recordings, livestreams, screenshots, photographs of protected instructional content, or other reproductions of the Seminar unless BSC provides prior written authorization.
Authorized recording may be subject to additional restrictions.
12. Photography and Recording by BSC
BSC may photograph or record portions of an in-person or virtual Seminar for documentation, educational, promotional, or marketing purposes.
Unless a participant provides written notice before the Seminar requesting exclusion where reasonably practical, the participant authorizes BSC to use incidental images or recordings that include the participant without compensation.
BSC will make reasonable efforts to accommodate a timely request but cannot guarantee exclusion from wide-angle, crowd, or background images.
13. Virtual Seminar Access
For a virtual Seminar, the participant is responsible for providing:
Access credentials are for the registered participant only and may not be shared.
BSC is not responsible for access problems caused by the participant’s equipment, internet service, firewall, software, account settings, or failure to follow access instructions.
BSC may require identity or attendance verification during a virtual Seminar.
14. Facility Rules, Health, and Safety
Participants attending an in-person Seminar must comply with all posted facility rules, emergency procedures, parking requirements, and reasonable health and safety instructions.
Participants who are ill, experiencing symptoms of a communicable illness, or otherwise unable to attend safely should not attend in person.
Participants are responsible for their personal property and for acting reasonably with respect to known site and weather conditions.
15. Food, Allergies, and Accommodations
When food or refreshments are provided, BSC does not guarantee that any item is free from allergens or cross-contact.
Participants with allergies, dietary restrictions, accessibility needs, or other accommodation requests should notify BSC sufficiently in advance.
BSC will consider reasonable requests but cannot guarantee that every request can be accommodated.
16. Assumption of Risk
The participant voluntarily assumes the ordinary risks associated with attending and participating in the Seminar, including travel, use of the facility, classroom activities, demonstrations, and interaction with other participants.
This provision does not waive any right that cannot lawfully be waived.
17. Limitation of Liability
To the fullest extent permitted by law, BSC and its owners, employees, instructors, speakers, agents, contractors, affiliates, and facility representatives shall not be liable for indirect, incidental, special, exemplary, or consequential damages arising from registration, attendance, nonattendance, cancellation, rescheduling, reliance on Seminar content, technical failure, or use of Seminar materials.
To the fullest extent permitted by law, any direct liability of BSC relating to a Seminar shall not exceed the registration fee actually paid to BSC for the affected participant and Seminar.
Nothing in these Terms and Conditions excludes or limits liability where exclusion or limitation is prohibited by law.
18. Privacy and Communications
BSC may collect and use registration information for:
BSC may share information with payment processors, website providers, instructors, approving agencies, licensing authorities, or service providers when reasonably necessary to administer the Seminar or document continuing-education credit.
Participants may opt out of promotional email communications at any time. Operational emails concerning a registration, payment, schedule, safety matter, certificate, or attendance record may still be sent.
19. Payment Disputes and Chargebacks
Participants should contact BSC promptly regarding payment concerns before initiating a chargeback or payment dispute.
BSC may provide registration records, acceptance of these Terms and Conditions, payment information, attendance records, communications, and other supporting documentation to the payment processor or financial institution in response to a dispute.
An improper or unresolved chargeback may result in cancellation of the registration, withholding of course documentation, and refusal of future registrations, to the extent permitted by law.
20. Electronic Acceptance
The participant’s electronic registration, checkbox acceptance, submission of payment, or attendance may be used as evidence of acceptance of these Terms and Conditions.
Wisconsin law recognizes electronic records, electronic signatures, and electronic contracts, subject to applicable statutory requirements.
A copy of the Terms and Conditions in effect at the time of registration may be retained electronically by BSC.
21. Governing Law
These Terms and Conditions shall be governed by the laws of the State of Wisconsin, without regard to conflict-of-law principles.
Any legal proceeding arising from the Seminar or these Terms and Conditions shall be brought in a court of competent jurisdiction in Wisconsin, unless applicable law requires otherwise.
22. Severability
If any provision of these Terms and Conditions is determined to be invalid, unlawful, or unenforceable, the remaining provisions shall continue in effect to the fullest extent permitted by law.
23. No Waiver
BSC’s failure to enforce any provision on one occasion does not waive its right to enforce that provision or any other provision later.
24. Entire Agreement
These Terms and Conditions, together with the applicable registration page, course description, payment terms, and written confirmation issued by BSC, constitute the agreement regarding participation in the Seminar.
Any exception or modification must be approved by BSC in writing.
25. Acceptance
By submitting the registration form, selecting the Terms and Conditions acceptance box, submitting payment, or attending the Seminar, the participant acknowledges that the participant has read, understood, and agreed to these Terms and Conditions.
